The TOTSCo Board

The TOTSCo board comprises nine directors. The six constituency directors are elected by industry while the three independent directors, including the Chair, are appointed by the board.

Board meetings are attended by the CEO, and by the OTA2 as an observer.

Board composition, the election and appointments processes for directors, and the powers of the board and how they make decisions are all defined in our Articles of Association.

Constituency directors are elected by the members of their respective constituencies and are expected to articulate to the board their constituents' perspective while always acting in the interest of the company as a whole. A full role description can be found here. 

The three independent directors, including the Chair, are appointed by the board with a view to contributing particular skills and experience that enhance governance and strategic oversight. Independent directors also chair two key committees: the Audit and Risk Committee and the Remuneration Committee.

Directors may nominate up to two alternate directors to represent them at meetings where they cannot be present. This ensures that the different constituencies are always properly represented when decisions are taken.

Additional input to the project to date has been received from individuals representing a wide range of communications providers and industry groups, either on Working Groups or as part of the Stakeholder Forum.

TOTSCo is owned by its members. Membership of the company is open to users and potential users of the TOTSCo Hub. You do not need to become a member of TOTSCo in order to use the Hub.
